Large Saudi holding company with a strong market presence and diverse investments across a wide range of sectors including energy, real estate, transportation, beverages, Technology, oil & gas, etc.
Overview:
This executive role will focus on providing expert legal oversight across the company’s operations, ensuring compliance with regulatory requirements, and supporting corporate governance structures. The ideal candidate will possess a deep expertise in corporate law, IPO readiness, along with a strategic and proactive approach to managing legal risks and navigating the legal landscape in KSA, across a wide range of sectors.
Key Responsibilities:
• Lead the legal strategy and provide counsel on corporate governance, regulatory compliance, and risk management as the company transitions to a publicly traded entity.
• Oversee legal aspects of the IPO process, including securities filings, disclosure requirements, and ongoing reporting obligations post-IPO.
• Advise senior leadership on matters related to corporate structure and shareholder relations to support the company’s strategic goals.
• Manage and mitigate legal risks by implementing policies, practices, and compliance programs aligned with regulatory standards.
• Draft, review, and negotiate contracts, partnerships, and transactions, ensuring that all agreements are in the company’s best interests.
• Oversee and manage litigation, dispute resolution, and other legal proceedings as needed.
• Coordinate with external counsel, regulatory bodies, and stakeholders to ensure alignment with IPO requirements and compliance with local and international laws.
• Build and lead a high-performing legal team, fostering a culture of transparency & accountability.
Qualifications:
• Bachelors degree in relevant Law, Masters degree is highly preferred.
• 15-20 years of legal experience, with a minimum of 10 years in a senior legal or general counsel role within a major family group, investment, or holding company.
• Proven experience in IPO processes, securities law, and corporate governance, preferably within a regulated industry.
• Strong verbal and written communication skills in both Arabic & English is a must.
• Exceptional leadership, negotiation, and communication skills.
• Ability to navigate complex regulatory environments and manage multiple priorities in a high-stakes, fast-paced setting.
